Terms & Conditions

Please read these Terms of Service ("Terms") carefully before using joinvendra.com (the "Platform") operated by VENDRA ("we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms.

1. The Platform

VENDRA is a discovery and intelligence platform for the interior design industry. It enables designers and sourcing professionals to discover brands, showrooms, and design centers, and enables brands to maintain a presence and access engagement analytics.

We may modify, suspend, or discontinue any part of the Platform at any time without liability to you or any third party.

2. Eligibility

You must be at least 18 years old to create an account or use paid services on the Platform. By creating an account you represent that you meet this requirement and that you have the legal authority to enter into these Terms.

3. Account Types

Free Trial

New users may access the Platform for 7 days at no charge. The free trial provides access to core discovery features. At the end of the trial period, continued access requires a paid subscription.

Designer Membership

A paid subscription that provides full access to search, filters, favorites, project boards, recently viewed history, and all discovery tools available to design professionals.

Brand Membership

A paid subscription that provides a brand profile, showroom listings, and access to a brand dashboard showing visibility and engagement analytics. Brand accounts require approval by VENDRA administrators before the dashboard and analytics are activated. Brand accounts are owned by the subscribing business entity, not individual employees or contractors who may manage the account on its behalf.

4. Account Registration

  • You must provide accurate and complete information when creating an account

  • You are responsible for maintaining the confidentiality of your login credentials

  • You may not share your account with others or create multiple accounts

  • You must notify us immediately of any unauthorized use of your account

  • By creating an account, you consent to receive electronic communications from us relating to your account, subscriptions, updates, and operational notices

  • We reserve the right to suspend or terminate accounts that violate these Terms

5. Subscriptions and Billing

Billing

Paid subscriptions are billed on a recurring basis (monthly or annually depending on the plan selected). Payment is processed by Wix Payments. By subscribing you authorize us to charge your payment method on a recurring basis until you cancel.

Auto-Renewal

​

Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date. You are responsible for canceling your subscription before the renewal date if you do not wish to be charged for the next cycle.

Free Trial to Paid Conversion

​

At the end of your 7-day free trial, your account will require a paid subscription to continue. We will notify you before your trial ends. If you do not subscribe, your account access will be paused.

Cancellation

​

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.

Refunds

​

We do not offer refunds except where required by applicable law. If you believe you were charged in error, contact us at legal@joinvendra.com within 14 days of the charge.

Price Changes

​

We may change subscription pricing at any time. We will provide at least 30 days notice of price increases to existing subscribers via email.

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose

  • Scrape, crawl, or systematically extract data from the Platform without our written permission

  • Access the Platform through bots, scripts, automated tools, or unauthorized APIs

  • Reproduce, copy, export, redistribute, or commercially exploit substantial portions of Platform data without written permission

  • Attempt to gain unauthorized access to any part of the Platform or its infrastructure

  • Submit false, misleading, or inaccurate information in brand profiles or account registration

  • Use the Platform to spam, harass, or solicit other users

  • Reverse engineer, copy, or create derivative works based on the Platform

  • Interfere with the proper functioning of the Platform

7. Prohibited Competitive and AI Use

You may not use the Platform or its data to build, train, populate, enhance, or operate any competing product, directory, dataset, search engine, recommendation system, or artificial intelligence model. This prohibition applies regardless of the method used, including through scraping, automated collection, screenshots, manual aggregation, data exports, or any other means of systematic extraction.

8. Account Termination

We reserve the right to suspend or terminate accounts immediately and without notice for violations involving scraping, automated extraction, fraud, abuse, competitive misuse, or any actions that threaten the integrity or security of the Platform. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will do so.

9. Brand Profiles and Content

Brands that subscribe to a Brand Membership may submit profile information, showroom details, and related content ("Brand Content") for display on the Platform. By submitting Brand Content you represent that:

  • You have the right to submit and display the content

  • The content is accurate and not misleading

  • The content does not infringe any third-party intellectual property rights

We reserve the right to remove or modify Brand Content that violates these Terms or that we determine, in our sole discretion, is inappropriate for the Platform.

10. Directory Information

While we strive to maintain accurate information, VENDRA does not guarantee the accuracy, completeness, availability, or current status of any brand, showroom, design center, location, contact, or related directory information displayed on the Platform. Directory information is provided for convenience and discovery purposes only. We encourage users to verify information directly with brands and showrooms before making decisions based on it.

11. Beta and Experimental Features

Certain features may be identified as beta, experimental, or early access. These features may be modified, suspended, or removed at any time without notice and may not function as intended. Use of beta features is at your own risk and does not entitle you to any refund or credit.

12. Intellectual Property

The Platform, including its design, code, content, and branding (including the VENDRA name and logo), is owned by us and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.

You retain ownership of content you create on the Platform such as project notes. You grant us a limited license to store and display that content solely to provide the service to you.

13. Analytics and Data

We collect usage data to operate and improve the Platform. Brands with paid memberships receive access to aggregated analytics about their profile visibility and engagement. This data reflects activity on the Platform and is provided for informational purposes only. We make no warranties about the accuracy or completeness of analytics data.

14. No Warranty on Business Outcomes

We do not guarantee business results, lead generation, customer acquisition, sales performance, or commercial outcomes from use of the Platform. Visibility and engagement analytics are informational metrics only and do not constitute any representation or warranty regarding commercial performance.

15. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM, INCLUDING BRAND PROFILES AND SHOWROOM INFORMATION.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VENDRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

17. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including internet outages, hosting or infrastructure failures, cyberattacks, natural disasters, pandemics, labor disputes, or government actions. In such circumstances our obligations under these Terms are suspended for the duration of the event.

18. Indemnification

You agree to indemnify and hold VENDRA, its officers, directors, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

19. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
